1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services provide access to third-party hosted links to download or view pesticide product labels as well as the corresponding safety data sheets for some products. The Services also include a stock take tool, recently viewed and saved label features, and an AI-powered query tool (“Ask AI”) which queries the product labels text to answer user questions.

Certain information displayed within the Services (including permitted crops, latest application timings, weeds, diseases or insects controlled, environmental protection requirements including buffer zone information), as well as label text used within the AI-powered query tool, is derived from automated extraction or summarisation of pesticide product labels using third-party machine processing technologies. Such information is provided for convenience only and may not represent the full, complete, or official wording of the product label. Whilst we aim to keep this information reasonably up to date, we do not guarantee that the information displayed reflects the exact wording or current status of the product label at the time of viewing. Users must always verify information against the official product label or safety data sheet as provided by the manufacturer or relevant regulatory authority before making any agronomic, regulatory, or application decisions.

The Services also include Audit Assist, a one-off paid feature that allows users to select plant protection products used on farm, select relevant supporting documents such as EAMUs where applicable, enter business or farm details, and generate a report for record-keeping, business support, and compliance preparation purposes.

Where you choose to include a business name, farm name, or address within Audit Assist, you are responsible for ensuring those details are accurate, up to date, and lawful for us to process and include in the generated report and, where applicable, on your invoice.

Audit Assist is a document collation and report-generation tool only. It does not constitute legal, regulatory, inspection, assurance scheme, or agronomic advice, and we do not guarantee that any report generated through Audit Assist will satisfy all inspection, assurance, contractual, or farm-specific requirements.

We accept no responsibility for any reliance placed on information displayed within the Services. Users must independently verify all information against the official product label or safety data sheet before making any agronomic, regulatory, or application decisions. Where any discrepancy exists between information displayed within the Services and the official product label or safety data sheet, the official documentation shall take precedence.

1A. COLLABORATIVE STOCK TAKE FUNCTIONALITY

The Services include functionality allowing the creator of a stock take (“Owner”) to grant access to other registered users (“Collaborators”).

The Owner is solely responsible for determining which users are granted access, adding or removing Collaborators, adding, editing, or removing recipient email addresses, and approving or declining any request to transfer ownership.

Collaborators may view and edit shared stock takes and may send stock takes to email addresses added by the Owner.

We act solely as a technology platform facilitating user-controlled collaboration. We do not determine who receives access to stock take data, and we do not monitor, verify, or approve edits or email distributions made by users.

The Owner and Collaborators are solely responsible for the accuracy of stock take data, the lawfulness of any personal data entered, and the consequences of sharing, editing, or emailing stock take data.

We accept no liability for edits made by Collaborators, disputes between users regarding ownership or access, incorrect email addresses entered by users, or any loss, regulatory breach, crop damage, financial loss, or third-party claim arising from shared or edited stock take data.

The Services are provided strictly for informational and business support purposes only. Nothing within the Services constitutes agronomic advice, pesticide advice, regulatory advice, compliance advice, or legal advice. Users remain solely responsible for verifying all information against the official and most current product label or safety data sheet as published by the manufacturer and/or relevant regulatory authority (including CRD/HSE). All pesticide application decisions and regulatory compliance obligations remain entirely the responsibility of the user.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or licensee of all intellectual property rights in the Services, including but not limited to the platform architecture, source code, databases, functionality, software, website and application design, branding, trademarks, logos, excluding third-party label content, and proprietary compilations (collectively, the “Platform Content”).

For the avoidance of doubt, product labels, manufacturer documents, regulatory texts, and other third-party materials accessed or linked through the Services (“Third-Party Content”) remain the intellectual property of their respective owners. We do not claim ownership of such Third-Party Content.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. Except as expressly permitted, no part of the Platform Content may be copied, reproduced, republished, distributed, or exploited without our prior written permission.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services contain links to other websites (‘Third-Party Websites’) as well as articles, graphics, and other content belonging to third parties (‘Third-Party Content’).

The Services provide links to third-party hosted product labels. We do not control, maintain, update, or verify the accuracy, completeness, timeliness, or regulatory status of such third-party content. If a product label link becomes outdated, withdrawn, amended, or otherwise inaccurate, we accept no responsibility for reliance placed upon such content.

UK Government Regulatory Data

Certain regulatory approval data, product status information (including withdrawn/revoked products), and Extension of Authorisation for Minor Use (EAMU) information displayed or linked within the Services is derived from publicly available UK Government sources, including the Health and Safety Executive (HSE) Pesticide Register of Great Britain and Northern Ireland Authorised Products.

Crown copyright material is reproduced under the Open Government Licence v3.0.

We are not affiliated with, endorsed by, or acting on behalf of the Health and Safety Executive or any other UK Government body.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

We make no representation or warranty that any product label, extracted label text, saved label, stock take output, or AI-generated response is complete, accurate, current, or legally compliant. The Ask AI feature utilises artificial intelligence technology provided by a third party (OpenAI). AI responses are generated probabilistically and may be inaccurate, incomplete, or outdated. AI outputs do not constitute professional advice. You must independently verify all AI-generated responses against the official product label before making agronomic or regulatory decisions.

You acknowledge that Audit Assist outputs depend on the information and selections you provide and on the availability and content of third-party materials. You remain solely responsible for reviewing the final report and for confirming that all selected products, product summaries, documents, EAMUs, business details, and farm details are complete, current, and suitable for your intended use.

20. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR OWNER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

To the fullest extent permitted by law, we shall not be liable for any loss arising from reliance on product label information, AI-generated responses, pesticide application decisions, regulatory non-compliance, crop damage, yield loss, environmental harm, financial loss, or third-party claims. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

This limitation of liability expressly includes any claim arising from collaborative stock take functionality, including user-initiated sharing, editing, distribution, or reliance upon shared stock take data.

This limitation of liability also expressly includes any claim arising from Audit Assist, including any omission, error, outdated document, unavailable third-party document, incorrect product or document information and selection, inaccurate business or farm detail supplied by a user, delayed report generation, invoice detail included at your request, or any alleged failure of an Audit Assist report to satisfy an inspection, audit, assurance, legal, or customer requirement.

This includes, without limitation, any Audit Assist report, compliance pack, invoice detail, selected product list, selected EAMU or other supporting document, or any business or farm details included at your request.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, regulatory action, claim, or demand (including reasonable legal fees) arising out of (i) stock take data you create, upload, share, or edit; (ii) personal data of third parties entered into the Services by you; (iii) collaborative access granted by you; or (iv) any breach of these Legal Terms.

22. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing performance. You are solely responsible for all data that you transmit.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree to the use of electronic signatures.
